LIVENETLIFE Advertising Terms of Service
1 Introduction
These Terms of Service ("Terms") govern the relationship between you ("Advertiser") and LiveNetLife International d.o.o. ("LIVENETLIFE" or "we" or "us"), a company registered in Ljubljana, Slovenia, in connection with the use of our native advertising network called LIVENETLIFE Advertising ("Service").
By using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.
2 Registration and Account
To access and use the Service, you must register and create an account ("Account") with us by providing accurate and complete information, including your name, company name, address, email address, and other relevant information. You are responsible for maintaining the confidentiality of your account credentials and are responsible for all activities that occur under your Account. You agree to notify us immediately of any unauthorized use of your Account.
3 Ad Content
As an Advertiser, you are solely responsible for the content of the ads you submit to the Service ("Ads"). You represent and warrant that:
a) The Ads do not infringe any intellectual property rights, including but not limited to copyright, trademark, or patent rights, of any third party.
b) You have obtained all necessary permissions, licenses, and consents required for the use of any content, including but not limited to images, music, video, or other intellectual property, in the Ads.
c) The Ads comply with all applicable laws, rules, and regulations.
d) The Ads do not contain any content that is defamatory, obscene, pornographic, offensive, or promotes hate speech, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
e) The Ads do not contain any malicious software or links to websites containing malicious software.
4 Ad Review and Acceptance
LIVENETLIFE reserves the right to review and approve or reject any Ads submitted to the Service at its sole discretion. We may remove or reject any Ads that violate these Terms, applicable laws, or are otherwise objectionable in our sole discretion.
5 Fees and Payments
As an Advertiser, you agree to pay for the Services in accordance with the pricing and payment terms specified by LIVENETLIFE. All payments must be made in the currency specified by us and are exclusive of applicable taxes. You are responsible for all taxes associated with your use of the Services.
5.1 VAT (Value Added Tax)
If you are an Advertiser based in Slovenia, EU, or any other jurisdiction where LIVENETLIFE is required to collect VAT on the Services provided, you agree to pay the applicable VAT in addition to the fees for the Services. LIVENETLIFE will provide you with a valid VAT invoice for each transaction, including the applicable VAT amount.
6 Cancellation and Refund Policy
You may cancel your Account or any individual Ad campaign at any time by contacting our customer support team at info@livenetlife.com or through the account management interfaceif available.
6.1 Account Cancellation
Upon cancellation of your Account, any remaining prepaid balance in your Account will be refunded to you within 30 days, subject to a minimum fee of 50 EUR or a 10% processing fee, whichever is greater. Refunds will be made using the same payment method used for depositing funds.
6.2 Ad Campaign Cancellation
If you cancel an individual Ad campaign, any unspent balance allocated to that campaign will be credited back to your Account. Such credited amounts can be used for future Ad campaigns but are not eligible for a refund unless you cancel your entire Account.
7 Data Privacy
LIVENETLIFE is committed to protecting the privacy of your data. Our Privacy Policy, which is incorporated by
reference into these Terms, provides information on how we collect, use, and disclose personal information.
8 Disclaimer and Limitation of Liability
The Service is provided on an "as is" and "as available" basis, without any warranties, either express or implied. LIVENETLIFE does not warrant that the Service will be uninterrupted, error-free, or free from malicious software.
In no event shall LIVENETLIFE, its affiliates, or its licensors be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Service, even if LIVENETLIFE has been advised of the possibility of such damages.
9 Indemnification
You agree to indemnify, defend, and hold harmless LIVENETLIFE, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees, arising out of or in connection with your use of the Service, your breach of these Terms, or your violation of any applicable laws, rules, or regulations.
10 Intellectual Property
All intellectual property rights in the Service, including but not limited to trademarks, trade names, service marks, logos, and domain names, are owned by LIVENETLIFE or its licensors. You may not use, copy, reproduce, distribute, or create derivative works from any part of the Service without our prior written consent.
11 Modifications to the Service and Terms
LIVENETLIFE reserves the right to modify, suspend, or discontinue the Service, in whole or in part, at any time and for any reason, without notice. We may also update these Terms from time to time. By continuing to use the Service after any changes to these Terms, you agree to be bound by the updated Terms.
12 Termination
LIVENETLIFE reserves the right to terminate your Account or suspend your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination or suspension may include, but are not limited to:
a) Breach of any provision of these Terms.
b) Violation of any applicable laws, rules, or regulations.
c) Engaging in any conduct that LIVENETLIFE, in its sole discretion, deems harmful to its reputation, the Service, or other users.
d) Failure to pay for the Services in accordance with the pricing and payment terms specified by LIVENETLIFE.
Upon termination or suspension, all rights granted to you under these Terms shall cease immediately, and you must cease all use of the Service. Any remaining prepaid balance in your Account may be subject to forfeiture at LIVENETLIFE's sole discretion, depending on the grounds for termination or suspension.
13 Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Slovenia, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms or your use of the Service shall be resolved by the competent court in Ljubljana, Slovenia.
14 Miscellaneous
a) If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
b) No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
c) Assignment: You may not assign, delegate, or transfer these Terms, your Account, or any of your rights or obligations hereunder, in whole or in part, without LIVENETLIFE's prior written consent. LIVENETLIFE may assign, delegate, or transfer these Terms, its rights and obligations hereunder, or any part thereof, to any third party, without notice, at its sole discretion.
